These Terms of Use govern your access to and use of the Phoenix Phreedom website, digital platforms, accounts, memberships, assessments, books, podcasts, coaching, consulting, organizational services, events, programs, downloads, and related offerings. These services are operated by Phoenix Phreedom, Inc.
By accessing, purchasing, registering for, or using any Phoenix Phreedom service, you agree to these Terms of Use and all policies incorporated by reference. If you do not agree, do not use the website or services.
You must be at least 18 years old and legally capable of entering into a binding agreement to use paid services, create an account, complete an assessment, or participate in a Phoenix Phreedom program. By using the services on behalf of an organization, you represent that you have authority to bind that organization to these terms.
You may use Phoenix Phreedom services only for lawful, personal, educational, internal professional-development, or authorized organizational purposes. Your access is limited, revocable, nonexclusive, nontransferable, and subject to these terms.
You may not misuse the website or services. Prohibited conduct includes attempting to disrupt platform operations, gain unauthorized access, bypass security, share restricted account access, upload malicious code, impersonate another person, submit false information, harass others, violate applicable law, or use the services in a manner that could harm Phoenix Phreedom, its users, clients, partners, or systems.
You may not scrape, harvest, crawl, index, copy, extract, mirror, frame, reproduce, reverse engineer, train models on, or create derivative commercial products from Phoenix Phreedom content, assessments, systems, databases, or platform features without prior written permission.
Certain services require an account. You agree to provide accurate information, protect your login credentials, and promptly notify Phoenix Phreedom of suspected unauthorized access. You are responsible for activity conducted through your account unless prohibited by law.
Accounts and memberships are personal to the registered user and may not be transferred, sold, shared, or used by multiple people unless an organizational agreement expressly permits shared or team access.
Prices, billing intervals, payment terms, taxes, and included features are presented at the time of purchase or stated in a written proposal or agreement. You authorize Phoenix Phreedom and its payment processors to charge the payment method you provide for applicable amounts.
You are responsible for providing current billing information and for any taxes, fees, or charges required by law, except taxes imposed directly on Phoenix Phreedom's income.
A recurring membership or subscription will continue for the billing interval disclosed at checkout until canceled. By purchasing a recurring service, you authorize automatic charges to your selected payment method on each renewal date.
You may cancel through the available account or billing controls, or by contacting support@phoenixphreedom.com. Unless otherwise stated, cancellation prevents future renewal charges and takes effect at the end of the current paid billing period.
Refund eligibility depends on the product, service, event, membership, coaching engagement, consulting agreement, or digital resource purchased. The Refund and Cancellation Policy and any purchase-specific terms presented at checkout or in a signed agreement are incorporated into these Terms of Use.
Failure to use a purchased service, attend a scheduled session, access available materials, or cancel before a renewal date does not automatically create a right to a refund.
Coaching, consulting, speaking, facilitation, training, organizational development, emergency management, and other professional engagements may be governed by a separate proposal, statement of work, contract, or client agreement. If a conflict exists, the signed agreement controls for that engagement.
Clients remain responsible for decisions, implementation, compliance, staffing, operations, safety, and outcomes within their own organizations.
The Basic Emotional Operating System Audit, EOSA profiles, and related assessments are educational and reflective tools. They are not clinical, diagnostic, employment-selection, medical, psychiatric, psychological, or legal instruments.
You may not use EOSA results as the sole basis for hiring, termination, promotion, discipline, compensation, insurance, clinical care, legal status, eligibility, or other high-impact decisions.
Phoenix Phreedom, Inc. owns or lawfully licenses the content, branding, website design, audio, video, books, assessments, questions, scoring structures, reports, systems, frameworks, methodologies, program architecture, exercises, diagrams, downloads, training materials, and other original materials provided through its services.
Protected materials include, without limitation, the Basic Emotional Operating System Audit, EOSA architecture, The Avalanche Method™, Phoenix Sovereign OS™, VERITY-MAP™, REVEAL-MAP™, and related systems, profiles, language, models, and implementation materials.
Subject to full payment and compliance with these terms, Phoenix Phreedom grants you a limited license to access purchased or provided materials for your own personal use or authorized internal organizational use. This license does not transfer ownership.
You may not reproduce, publish, distribute, resell, sublicense, teach, certify others in, publicly display, commercially exploit, modify, translate, adapt, or create competing or derivative products from protected materials without a separate written license signed by Phoenix Phreedom, Inc.
You retain ownership of original content you submit through forms, assessments, inquiries, testimonials, or program participation. You grant Phoenix Phreedom a limited right to process and use that content as reasonably necessary to provide services, respond to you, operate the platform, comply with law, and protect legal rights.
Phoenix Phreedom will not publicly use your name, testimonial, image, story, or identifiable submission for marketing without appropriate permission, except where you have intentionally made the content public or applicable law permits the use.
Phoenix Phreedom may use or link to third-party platforms, payment processors, authentication services, media providers, scheduling tools, communication services, and other resources. Third parties operate under their own terms and privacy policies. Phoenix Phreedom is not responsible for third-party acts, omissions, availability, security, or content.
To the maximum extent permitted by law, the website and services are provided on an "as is" and "as available" basis. Phoenix Phreedom disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, and uninterrupted operation.
To the maximum extent permitted by law, Phoenix Phreedom, Inc., its officers, directors, employees, contractors, contributors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, opportunity, or business interruption arising from or related to the website or services.
Where liability cannot be excluded, the total aggregate liability arising from a claim will not exceed the amount you paid Phoenix Phreedom for the specific service giving rise to the claim during the six months preceding the event, unless applicable law requires otherwise.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Phoenix Phreedom, Inc. and its officers, directors, employees, contractors, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from your misuse of the services, violation of these terms, infringement of another party's rights, or unlawful conduct.
Phoenix Phreedom may suspend, restrict, or terminate access when reasonably necessary to address nonpayment, security risks, unlawful conduct, misuse, intellectual-property violations, threats, harassment, fraud, or material breaches of these terms. Provisions that by their nature should survive termination will remain in effect.
Phoenix Phreedom may revise services, features, pricing, policies, or these terms. Updated terms will be posted with a revised date. Continued use after an update becomes effective constitutes acceptance of the revised terms, except where additional consent is required by law.
These Terms of Use are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Subject to any applicable consumer-protection rights, legal proceedings arising from these terms or the services must be brought in a court of competent jurisdiction located in Cook County, Illinois, and the parties consent to that jurisdiction and venue.
If any provision is found unenforceable, the remaining provisions will remain in effect. A failure to enforce any provision is not a waiver of the right to enforce it later.
These terms, together with the Privacy Policy, Disclaimer, Refund and Cancellation Policy, purchase terms, and any signed client agreement, constitute the applicable agreement between you and Phoenix Phreedom regarding the services addressed by those documents.
